Terms of Service

Parties: Logos Industries, a société par actions simplifiée incorporated in France, operating the idapt service ("idapt", "we"), and the customer identified at signup (the "Customer").

By signing up or using our Services, the Customer accepts these Terms (the "Agreement").

These Terms govern access to and use of idapt's platform and services (the "Services"). They are a single, unified agreement covering both the use of the Services and the purchase of usage credits; they replace any separate "terms of use" and "terms of sale".

If you use the Services as a consumer resident in the European Economic Area ("EEA") or the United Kingdom ("UK"), Section 17 (EU & UK Consumer Rights) grants you additional, mandatory rights and prevails over any conflicting provision of these Terms.

1. Key Definitions

Sub-ProcessorA provider engaged by idapt that may process Customer Data (listed in the Privacy Policy).
Third-Party Provider ServicesThird-party services used by idapt to operate the Services (e.g., AI model providers, hosting, payment processing).
Usage DataInformation relating to the provision, use, and performance of the Services (including analytics, statistical data, AI token usage, and performance metrics). Usage Data does not contain Customer Data except for messages sent to idapt support.

2. Eligibility, Account, Credits & Term

Eligibility. You must be at least 15 years old, and at least the age of digital consent in your country of residence, if higher (up to 16 in parts of the EEA), to use the Services. If you are under 18, you may use the Services only if your parent or legal guardian has reviewed and accepted these Terms on your behalf. The Services are not directed to children below these ages.

A free account includes a daily allowance of Usage at no charge. Beyond that, you may use the Services two ways, which may be combined:

  • Subscription. You may subscribe to a paid plan (the plans currently offered are listed on the pricing page). Each plan grants entitlements (such as storage capacity and feature access) and a recurring included-usage allowance that resets on rolling windows, in exchange for a recurring monthly fee billed in advance each billing cycle. Subscriptions renew automatically at the then-current fee for successive monthly cycles until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing cycle, and you retain access through that date. Changing plans mid-cycle is prorated. idapt gives at least 30 days' notice before a fee increase, which applies from the next billing cycle or renewal after the notice; you may cancel before it takes effect. The included allowance is a usage entitlement, not a balance of money, and does not carry over between periods.
  • Pay-as-you-go Credits. If you have an active subscription, you may purchase prepaid Credits that are added to your account balance and drawn down as you consume Usage beyond your plan's included allowance, where pay-as-you-go overflow is enabled in your billing settings. Credits do not expire. Purchasing Credits and auto top-up require an active subscription. If your subscription ends, any remaining Credit balance remains yours: it is preserved and becomes usable again when you resubscribe, and you may request a refund of the unused balance at any time (Section 8).

Teams. Every account is attached to a Team, which is the account holder of the subscription, the Credit balance, the usage, and the invoices; there is no separate personal billing account. A Team may hold several members, and the plan on the Team applies to that Team as a whole rather than being priced per member; each plan sets the maximum number of members the Team may have. Where a Team is subscribed by or on behalf of an organization, that organization is the Customer: its administrators manage members and workspace settings, and members' use of the Services remains subject to these Terms. Depending on their role, administrators may access resources within the Team's workspaces. Enterprise plans are offered under a separate agreement.

idapt may update the Services over time without materially degrading their core functionality.

You may optionally enable auto top-up, which authorizes idapt to charge your saved payment method to replenish your Credit balance when it falls below a threshold you set, up to a monthly limit you control. Auto top-up requires an active subscription and stops automatically if your subscription ends. You can change or disable auto top-up at any time from your account settings. The treatment of Credits and subscription fees on refund is set out in Section 8.

3. Access & Support

Subject to payment of Fees, idapt grants a non-exclusive, non-transferable, non-sublicensable right to use the Services for your personal or internal business use.

4. Acceptable Use

Customer shall not (and shall not permit others to):

  • Resell, rent, or sublicense the Services;
  • Bypass usage quotas or rate limits;
  • Tamper with security features or attempt unauthorized access;
  • Reverse engineer, decompile, or attempt to extract source code;
  • Violate any applicable law, third-party rights, or use the Services for unlawful, harmful, threatening, defamatory, obscene, harassing, or offensive purposes;
  • Use the Services if subject to sanctions of the EU, France, the UN, the UK, or the US, or from an embargoed territory, or in violation of applicable export-control laws;
  • Use the Services to build or promote a competing service;
  • Introduce malware, viruses, or disruptive code, overload or disrupt the Services, or use the Services to distribute malicious code to others;
  • Access, store, distribute, or transmit material that is unlawful, sexually explicit, discriminatory, or infringes on third-party intellectual property rights;
  • Create, upload, store, share, or distribute child sexual abuse or exploitation material of any kind (including AI-generated), or content that promotes terrorism or violent extremism. idapt removes such content and reports it to the competent authorities where required by law.

Each User must use unique, non-shared credentials. Customer remains responsible for all activity under their account. Notify idapt promptly at [email protected] if you become aware of any loss, theft, or unauthorized use of your account or credentials.

5. Personal Data & Confidentiality

Roles: For Account Information and billing, usage, and security data, idapt is the Data Controller, as described in the Privacy Policy. For personal data contained in Customer Data that idapt processes on Customer's behalf (such as files or conversations mentioning third parties), Customer is the Controller and idapt acts as Processor, acting only on Customer's documented instructions.

Data Protection: idapt processes Customer Personal Data in compliance with the GDPR and applicable data protection laws. The Privacy Policy, which forms part of this Agreement, sets out the details of processing, sub-processors, and retention. idapt notifies Customer without undue delay after becoming aware of a personal data breach affecting Customer Data.

Data Processing Agreement: Where Customer acts as a Controller, the Data Processing Agreement forms part of this Agreement and governs idapt's processing as Processor. It contains the Article 28(3) GDPR terms, the current Sub-processors list with 30 days' advance notice of changes, and the Standard Contractual Clauses for transfers outside the European Economic Area. No signature is required; a countersigned copy is available on request.

Where data is processed: The Service processes data in the United States. Section 7 of the Privacy Policy sets out where each class of data is processed and the safeguard that applies.

Third-Party Integrations: When Customer uses third-party integrations (including AI model providers), data may be transmitted to them as per their functionality. Customer must ensure such transfers comply with applicable laws.

Unstructured Personal Data: Personal data might be sent to idapt by the Customer through chat conversations or file uploads. Customer is solely responsible for ensuring that the processing of such personal data complies with applicable data protection laws.

Confidentiality: Each party protects the other's confidential information and uses it only to perform the Agreement. Disclosures are allowed to professional advisers bound by confidentiality duties and where required by law.

6. Intellectual Property

Customer Data: Customer Data remains Customer's property. Customer grants idapt a limited license to host, process, secure, and operate Customer Data to provide the Services.

AI Output: As between the parties, idapt assigns to Customer its rights, if any, in output generated for Customer by AI models through the Services. Output may not be unique (similar or identical output may be generated for other users), and the model provider's terms may also apply. AI output must be reviewed before it is relied upon (Section 9).

Customer Feedback: Any feedback, suggestions, or ideas provided by Customer may be used freely by idapt to improve the Services.

Usage Data: idapt may (i) collect, analyze, and process Usage Data internally for its business purposes, including for security, analytics, service improvement, and diagnostic purposes, and (ii) disclose Usage Data only in an aggregated and/or anonymized form that does not allow identification of Customer or any User.

idapt Intellectual Property: The platform, software, documentation, trademarks, and any deliverables remain the property of idapt (Logos Industries). No rights are granted beyond the usage license described in Section 3.

7. User Content, Sharing & Content Reporting

Sharing your content. Some features let you share Customer Data with other users or make it public, for example shared files, chats, and notes, published apps and skills, and public repositories. You decide what to share and with whom. When you share or publish content, you confirm that you have the rights needed to do so, and you grant idapt the limited license needed to host and deliver that content to the audience you selected. Content you make public can be viewed, copied, or reused by others; share it thoughtfully. This Section does not reduce idapt's obligations under Section 5 or the Privacy Policy.

Other users' and third-party content. Content made available by other users, and content retrieved from the web or other third-party sources at your request, remains the responsibility of whoever provided it. idapt is a hosting provider for that content: we do not review it in advance and we do not endorse it. You access, download, install, or run it at your own risk; review anything you install (such as apps or skills) before granting it access to your data.

Reporting illegal content and infringement. If you believe content available through the Services is illegal or infringes your rights (including copyright), report it via our Report Content page or by email to [email protected]. Include: (i) where the content is located (a URL or other identifier); (ii) why you believe it is illegal or infringing (for copyright claims, identify the protected work and your right to act for its owner); (iii) your name and contact details; and (iv) a good-faith statement that your report is accurate and complete. We handle reports diligently and without undue delay, remove or disable access to content where justified, may suspend accounts that repeatedly provide illegal or infringing content, and inform you of our decision. This is our notice-and-action mechanism under Article 16 of the EU Digital Services Act (Regulation (EU) 2022/2065); it does not limit any rights or remedies available under other applicable laws, including the U.S. Digital Millennium Copyright Act (DMCA).

8. Fees, Payments, Refunds, and Taxes

Fees are set out on the pricing page. Unless stated otherwise:

  • Credits are prepaid and available to subscribers: you are charged at the time you add Credits (a one-time payment) and the corresponding balance is added to your account immediately;
  • Auto top-up, if you enable it, charges your saved payment method to replenish your balance under the rules you set (Section 2); it requires an active subscription and stops automatically if your subscription ends;
  • Usage draws down your free daily allowance or your subscription's included allowance first; where pay-as-you-go overflow is enabled, further Usage then draws down your Credit balance;
  • On a failed payment, idapt may decline to add Credits, but does not suspend access to your existing balance or free allowance.

Refunds and Right of Withdrawal

Nature of what you buy. Credits entitle you to platform Usage. Usage is delivered in real time and consumes third-party computing resources that idapt pays for and cannot recover once an operation has run. Accordingly, Usage you have already consumed (AI generations, web search, code execution, storage, compute, and similar) is not refundable.

Statutory withdrawal right. If you are an EEA or UK consumer, you have a 14-day right of withdrawal; see Section 17, which prevails over this Section where it is more favourable to you. Because Credits buy digital content/services supplied immediately on use, at checkout you may be asked to expressly request immediate performance and to acknowledge the effect of doing so on your withdrawal right (Section 17).

Refund of unused Credits. Within 14 days of a Credit purchase, you may ask idapt to refund the unused portion of that purchase (i.e. the Credits still in your balance that were funded by it), less any non-recoverable payment-processing fees. No reason is required. Credits already consumed as Usage are not refundable.

After 14 days. Outside the 14-day window, Credit purchases are non-refundable while your subscription is active, though any unused balance remains available to spend and does not expire. If your subscription ends, your unused Credit balance is preserved (it becomes spendable again when you resubscribe) and you may request a refund of that unused balance at any time, less any non-recoverable payment-processing fees.

Goodwill. idapt may, at its discretion, issue a refund for a billing error, duplicate charge, or significant service outage. Doing so is not a waiver of this Section.

Taxes

Prices are exclusive of taxes. Customer is responsible for paying all applicable taxes (VAT, sales tax, etc.). Where idapt is required to collect VAT or an equivalent tax, it is added to the invoice and shown separately; where a valid VAT identification number is provided for an intra-EU business-to-business sale, the reverse-charge mechanism applies.

9. Warranties

Mutual Warranties. Each party confirms it has the authority to enter into this Agreement and doing so does not breach any other obligations.

idapt Warranties. While you use the Services, idapt warrants that: (a) the Services will perform substantially as described in the documentation; and (b) the Agreement reflects appropriate safeguards to protect the security, confidentiality, and integrity of Customer Data. If idapt breaches these warranties and Customer notifies idapt within 30 days, idapt will either (i) fix the Services or (ii) terminate the Agreement and refund unused fees.

Customer Warranties. Customer warrants that it: (a) has the rights and consents needed for idapt to process Customer Data; (b) will use the Services lawfully and in line with this Agreement; and (c) will comply with the terms of any third-party services it connects to idapt.

Disclaimer. Except as expressly stated above, and without limiting Customer's rights as a consumer under Section 17, the Services and documentation are provided "as is". idapt disclaims all other warranties, express or implied, including non-infringement, merchantability, fitness for a particular purpose, accuracy, or uninterrupted availability. AI-generated output may be inaccurate and must be reviewed before it is relied upon.

10. Indemnification

By idapt. idapt will defend and indemnify Customer against third-party intellectual property infringement claims arising from the Services, with remedies including obtaining a license, modifying or replacing the infringing component, or providing a pro-rata refund. Usual exclusions apply: misuse of the Services, unintended combinations, third-party changes, obsolete versions, Customer Data, or third-party services enabled by Customer.

By Customer. Customer will defend and indemnify idapt for claims relating to Customer Data, unlawful or non-compliant use of the Services, or Customer-enabled third-party integrations.

Procedure. The indemnified party must provide prompt notice of any claim. The indemnifying party controls the defense, and the indemnified party provides reasonable cooperation. This Section does not limit a consumer's statutory rights under Section 17.

11. Force Majeure

No party is liable for failure to perform due to a force majeure event (events beyond reasonable control, such as natural disasters, war, strikes, or government actions). If a force majeure event lasts 90 days or more, the other party may terminate this Agreement on written notice.

12. Limitations of Liability

Liability Cap. Except for the cases described below, each party's total liability under this Agreement is capped at 100% of the amounts paid (or payable) to idapt in the 12 months before the claim. Multiple claims will not increase this cap.

Unlimited Liability (Legally Required). Nothing in this Agreement limits liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any liability that cannot be excluded or limited by applicable law, including, for consumers, the mandatory rights described in Section 17.

Indirect Damages. Neither party is liable for indirect or consequential damages such as loss of profits, revenue, goodwill, data, or system availability.

Customer Mitigation. Customer is responsible for maintaining backups, monitoring its systems, and reporting issues promptly. idapt's liability for data loss is limited to recovery efforts that would have been possible if Customer had proper backups in place.

Risk Allocation. These limits reflect the agreed allocation of risk and are a key basis for the pricing of the Services.

13. Suspension

idapt may suspend all or part of the Services (with notice as soon as practicable) if: (i) material breach of this Agreement, (ii) risk to service integrity, security, or other customers, (iii) legal requirement, or (iv) suspected unauthorized access. idapt may also remove or disable access to specific content as described in Section 7.

14. Term, Termination, Data Return

The Agreement runs from the date you create your account and for as long as your account remains open.

Termination. Either party may terminate for: (i) uncured material breach (30 days' notice to cure), (ii) cessation of business, or (iii) insolvency proceedings.

On termination:

  • Access rights end immediately;
  • Access ends and Customer Data is retained according to the retention policy in our Privacy Policy. You may request erasure of your content at [email protected] and we will complete it within one month;
  • Sections that by nature should survive will survive (payment obligations, confidentiality, intellectual property, liability limits, governing law, etc.).

You may close your account at any time from your account settings. You may also disable auto top-up at any time; it stops automatically if your subscription ends. Any remaining Credit balance remains yours: it stays available to spend while you hold an active subscription, is preserved and becomes usable again when you resubscribe, and may be refunded on request under Section 8.

Switching away from idapt

We do not want to keep you by making it hard to leave.

  • Notice. You may terminate this Agreement for convenience on two months' notice, or immediately by closing your account.
  • Transition period. After termination you keep access to retrieve your data for at least 30 days.
  • Export. Every resource exports from its own screen at any time, in open formats: conversations to Markdown, plain text, JSON or PDF; Notes boxes to a ZIP of Markdown; tables to CSV; files to a ZIP; repositories over standard git clone. For a single archive of your whole account, write to [email protected] and we will provide one within one month.
  • No exit charges. We do not charge switching fees or data-egress fees.
  • Assistance. If you need help retrieving data in a usable form, contact [email protected].

These commitments reflect Chapter VI of Regulation (EU) 2023/2854 (the Data Act), whose switching-charge provisions apply from 12 January 2027. We apply them now.

15. Beta & Free Trials

Under specific circumstances, beta features or free trials (including a free tier) may be provided without warranty. If so, they may change or be discontinued at any time. Service-level commitments do not apply by default to beta features or free trials.

16. Open-Source Software

Open-source components (such as MIT-licensed software) may be used in the Services. Their respective licenses apply where required. idapt remains responsible for providing the Services as a whole.

17. EU & UK Consumer Rights

This Section applies if you use the Services as a consumer (outside any trade, business, craft, or profession) and you are resident in the EEA or the UK. It prevails over any conflicting provision of these Terms, and nothing elsewhere in these Terms removes rights this Section or applicable law gives you.

17.1 Right of withdrawal

You have the right to withdraw from a Credit purchase or a subscription within 14 days, without giving a reason. The period runs from the day of the purchase or subscription.

The Services consist of digital content and digital services supplied immediately. At checkout you may expressly consent to performance beginning during the 14-day period and acknowledge that:

  • once the Services have been fully performed, your right of withdrawal is lost (Article L221-28 of the French Code de la consommation; equivalent UK and EEA provisions); and
  • if you withdraw before full performance, you must pay an amount proportionate to what has been supplied up to the moment you withdraw (Usage consumed and, for a subscription, the elapsed portion of the billing period and allowance used), and idapt will refund the balance.

If you do not give that consent, performance does not begin until the 14-day period has ended.

Where the proportionate-payment rule above is more favourable to you than the refund policy in Section 8, this Section prevails. To withdraw, send a clear statement to [email protected]; you may use the model withdrawal form below.

17.2 Legal guarantee of conformity

You benefit from the mandatory legal guarantee that the Services conform to their description and are fit for purpose, including the garantie légale de conformité under the French Code de la consommation for consumers in France, and the equivalent statutory quality rights under the UK Consumer Rights Act 2015. These guarantees are provided free of charge and are independent of any commercial commitment.

17.3 Dispute resolution and mediation

If you have a complaint, please first contact us at [email protected] so we can try to resolve it directly.

If a complaint cannot be resolved, a consumer residing in France or in another EU Member State may, free of charge, refer the dispute to our designated consumer mediator:

The mediator can only be seized after you have first raised the complaint with us in writing without a satisfactory resolution, and within one year of that written complaint.

17.4 Mandatory law prevails

Nothing in these Terms excludes or limits any right you have under the mandatory consumer-protection law of your country of residence that cannot be waived by contract. The choice of French law in Section 19 does not deprive you of the protection of the mandatory provisions of the law of the country where you live.

18. Additional Terms for U.S. Residents

If you reside in the United States, the following applies in addition to these Terms:

  • Automatic renewal of subscriptions. If you subscribe to a paid plan, your subscription automatically renews at the end of each billing cycle and idapt will charge your saved payment method the then-current fee, until you cancel. You may cancel at any time from your account settings, effective at the end of the current cycle, with no cancellation fee. idapt will send renewal and price-change notices where required by law.
  • Auto top-up. Auto top-up is threshold-based, not a subscription: if you enable it, you authorize idapt to charge your saved payment method to replenish your Credit balance when it falls below the threshold you set, under the rules you set. It requires an active subscription, stops automatically if your subscription ends, and does not renew on a fixed schedule; you may change or disable it at any time from your account settings.
  • Refunds are governed by Section 8.
  • State law. Nothing in these Terms waives any non-waivable right you have under the law of your state of residence.

19. General Provisions

Governing Law / Jurisdiction. This Agreement is governed by French law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Paris, France, except that, if you are a consumer, (a) you keep the protection of the mandatory provisions of the law of your country of residence (Section 17.4), and (b) you may bring proceedings in, and may only be sued in, the courts of your country of residence, as required by applicable law.

Language. These Terms are published in English and French. The English version is the authoritative version and translations are provided for convenience; in case of any discrepancy, the English version prevails, except for consumers resident in France, for whom the French version governs.

Assignment. This Agreement is not assignable without prior written consent, except as permitted by law for corporate transactions (mergers, acquisitions, etc.).

Independent Contractors. The parties agree that each is an independent contractor and neither party has the right or authority to assume or create any obligation on behalf of the other.

Severability / Waiver. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in effect. No waiver of any provision will be implied from conduct; waivers must be in writing.

Amendments. idapt may update these Terms for good reason, such as legal, security, or product changes. We will notify you of material changes at least 30 days before they take effect, via email or in-app notification; if you do not agree, you may close your account or terminate before the effective date (Section 14). Continued use after the effective date constitutes acceptance.

Notices. idapt may give notices by email to your account email address or by in-app notification; they are deemed given when sent. Notices to idapt may be sent to [email protected], and formal legal notices to the registered office in Section 20.

Electronic Signatures. Electronic acceptance (e.g., clicking "I agree" or using the Services) constitutes a binding signature.

Entire Agreement. This Agreement supersedes all prior terms, agreements, or understandings on the same subject matter.
